Welcome to MarginGuard (“we,” “our,” or “us”), operated by Forgeframe Labs LLC, a United States limited liability company. These Terms of Service (“Terms”) govern your access to and use of the MarginGuard website, app, and related services (collectively, the “Service”).

By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Service. By using MarginGuard, you represent and warrant that you meet these requirements.

2. Account Registration

To access certain features, you must create an account. You agree to:

  • Keep your login credentials secure
  • Be responsible for all activity under your account

We are not liable for any loss or damage resulting from unauthorized account access due to your failure to safeguard credentials.

3. Use of the Service

  • Attempt to access or interfere with systems or data you do not own or have permission to access
  • Use the Service to violate Amazon’s policies or applicable advertising laws
  • Copy, reverse-engineer, resell, or modify any part of the Service without written consent
  • Interfere with the Service’s functionality or security

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Amazon Ads Data and Integrations

When you connect your Amazon Ads account, you authorize MarginGuard to access and process your advertising data through Amazon’s API.

We use this data solely to provide analytics, insights, and monitoring features. You remain responsible for ensuring your use of the Service complies with Amazon’s policies and applicable laws.

5. Subscription and Payments

5.1 Billing

MarginGuard is a paid subscription service. By subscribing, you agree to pay all applicable fees displayed at checkout. Payments are processed securely through Stripe.

5.2 Renewals

Subscriptions automatically renew at the end of each billing period unless canceled before renewal. You may cancel anytime in your account settings; access will continue until the end of the paid term.

5.3 Refunds

We may offer a 7-day money-back guarantee as stated on our website. Beyond that, all fees are non-refundable except as required by law.

6. Intellectual Property

All content, trademarks, software, and materials provided by MarginGuard are owned by or licensed to Forgeframe Labs LLC.

You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You may not copy, distribute, or create derivative works without written permission.

7. Service Availability

We aim to provide continuous, reliable access to MarginGuard, but we do not guarantee uptime or that the Service will be error-free. We may suspend or modify the Service at any time for maintenance, updates, or other reasons without liability.

8. Disclaimers

MarginGuard provides tools and analytics to help monitor and manage Amazon Ads performance. We do not guarantee specific advertising results or profitability.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, or non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law:

  • Forgeframe Labs LLC and its affiliates are not liable for indirect, incidental, consequential, or punitive damages arising out of your use of the Service.
  • Our total liability for any claim shall not exceed the amount paid by you to MarginGuard in the preceding six (6) months.

Some jurisdictions do not allow certain exclusions or limitations, so these limits may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Forgeframe Labs LLC, its officers, employees, and affiliates from any claims, damages, or losses arising out of:

  • Your use or misuse of the Service
  • Your violation of these Terms or applicable laws
  • Any third-party claim related to your content or account

11. Termination

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms or pose a risk to the integrity of the Service.

Upon termination, your right to access the Service immediately ceases, and any outstanding fees remain payable.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You consent to personal jurisdiction in those courts.

13. Changes to These Terms

We may modify these Terms from time to time. The updated version will be posted on this page with a new “Last Updated” date. Continued use of the Service after updates constitutes acceptance of the new Terms.
